Protecting Commercial Value in AI SaaS Contracts: Why EU Businesses Must Rethink Data and IP Rights

Artificial intelligence has rapidly moved from experimental technology to an operational necessity for many businesses. Across the technology, retail, logistics, and e-commerce sectors, AI-enabled SaaS platforms now support core functions such as pricing, fraud analysis, product recommendations, content generation, and supply chain forecasting. The commercial appeal is clear: these systems promise speed, efficiency, and insight at a scale that human teams cannot match.
Yet as organizations integrate AI tools into their workflows, a less visible but increasingly significant legal question arises: to what extent are companies inadvertently transferring commercial value to the very vendors whose tools they license? Many AI SaaS agreements contain contractual terms that allow suppliers to use customer data broadly, sometimes to train shared models, sometimes to develop new features, and sometimes to create derived datasets that the vendor may later commercialize. When those datasets contain proprietary business information, the consequences can be far-reaching. The business may not only lose exclusive control over its information, but also help create systems that ultimately benefit competitors.
This issue is particularly acute in the EU, where rapid regulatory change intersects with evolving commercial practices. Businesses are increasingly aware of GDPR obligations, but far fewer appreciate the commercial implications of AI-driven data use, the contractual gaps that expose competitive advantage, or the future impact of the EU AI Act. Taken together, these developments mean that the contractual foundations of AI procurement must now be considered as carefully as the technology itself.
Data as a commercial asset in the AI supply chain
Most SaaS contracts were built for a pre-AI world. They assume that customer data is static and that the vendor’s software processes it, but does not learn from it. AI fundamentally alters this relationship. Machine-learning systems are designed to identify patterns across large datasets, and those patterns often contain valuable commercial intelligence. When a business inputs customer profiles, product descriptions, pricing models, or operational metrics into an AI-powered service, that data can reveal insights central to the organisation’s competitive position. If that same data is used to train models the vendor deploys across its client base, the advantage becomes diluted.
The commercial effect is subtle but significant. Over time, a vendor’s model becomes more sophisticated because of the unique data contributed by its customers. If the vendor then provides that enhanced model to other businesses in the same sector, the originating customer may find that the very insights that once differentiated it are now reflected in a broader market offering. The industry has, in effect, subsidised the development of tools that reduce its competitive advantage.
The risk is amplified when contract terms contain broad improvement licences or vague references to model optimisation. Many agreements permit the supplier to use customer data “to improve the services” or “to develop new features,” without defining limits or providing assurances regarding confidentiality, exclusivity, or downstream use. For many organisations, these clauses go unnoticed during procurement because they resemble traditional SaaS language. In an AI context, however, they may enable a transfer of value that is far wider than intended.
Intellectual property and the ambiguity of AI-generated outputs
Another area of commercial uncertainty concerns ownership of AI-generated outputs. AI systems can create content ranging from marketing text to product designs and code. Yet unless a contract expressly addresses ownership, there is no guarantee that the customer will have exclusive or enforceable rights in those outputs. Under EU intellectual-property law, copyright generally requires human authorship. Outputs generated autonomously by AI may therefore fall outside copyright protection, leaving businesses with results they rely on operationally but cannot defend from replication.
The contractual position is equally variable. Some vendors assign or license output rights to customers; others reserve broad rights for themselves, including the ability to reuse or distribute similar outputs. From a commercial perspective, this creates two risks. First, the customer may invest in developing a product, brand asset, or operational process using AI outputs that it cannot claim exclusive rights to. Second, the vendor may generate similar content for competitors, undermining differentiation in the market. Without clear contractual terms, businesses risk losing control of outputs that form part of their strategic activities.
Vendor responsibility and the limits of contractual protections
A further concern arises from the way many AI SaaS agreements allocate responsibility. Vendors frequently include disclaimers stating that AI-generated results are not guaranteed to be correct and that the customer assumes responsibility for verifying outputs. They also routinely disclaim liability for errors, inaccuracies, or regulatory breaches arising from reliance on those outputs. While these limitations may have been commercially acceptable in traditional SaaS arrangements, they pose greater risks in an AI environment, where automated recommendations can materially influence business decisions.
If, for example, an AI model used for pricing, inventory planning or fraud screening produces inaccurate or biased results, the financial impact can be significant. Where those outcomes involve personal data or automated decision-making, regulatory liability may also arise. Without adequate contractual protections, the customer may find itself exposed to operational losses or compliance failures without recourse to the vendor. This imbalance is increasingly difficult to justify, particularly in high-impact use cases where the customer has limited visibility into the model’s logic or training data.
The role of EU Law: GDPR and the EU AI Act
Although this article focuses principally on commercial rather than regulatory concerns, EU law shapes both. Under the GDPR, vendors may not repurpose personal data, whether customer, employee or consumer datasets, for training purposes without a lawful basis and appropriate transparency. Businesses that permit vendors to reuse personal data for model development without ensuring such a basis exists risk violating purpose-limitation and fairness principles. This can lead not only to regulatory penalties but also to operational constraints if the vendor must cease using specific data after integration.
The forthcoming EU AI Act will add a layer of contractual complexity. For high-risk AI systems, the Act will require documentation, human oversight mechanisms, transparency measures, and technical robustness. Even for non-high-risk systems, obligations relating to data governance and responsible deployment will shape the expectations placed on vendors. Customers procuring AI tools will need contractual assurances that the vendor can meet these requirements and will support the customer’s own obligations as a deployer. Failure to address these issues at the contract stage may result in costly renegotiation or operational disruption once the Act becomes fully applicable.
Strengthening AI SaaS contracts to protect commercial value
Given this environment, organisations should reassess how they contract for AI services. The priority is not to eliminate risk, a near-impossible task in a fast-moving field, but to ensure that contractual terms reflect the commercial significance of the data and outputs involved.
This begins with insisting on clear restrictions around data use. Vendors should use customer data solely to provide the contracted service unless the customer explicitly consents to broader use. Where model training is permitted, it should be subject to strict limitations, including measures to prevent competitive leakage, confidentiality obligations, and assurances that derived insights cannot be redistributed in a way that undermines the customer’s market position.
Contracts should also define ownership of AI outputs with precision. Businesses that rely on AI-generated material need clarity on whether they hold exclusive rights, whether outputs may be repeated for other clients, and whether any limitations arise from the non-human nature of authorship. Without such clarity, companies may unknowingly build key assets on foundations they cannot legally protect.
Finally, the allocation of responsibility must be realistic. While vendors may rightly restrict unlimited liability, customers should expect meaningful warranties regarding the performance, security and lawful operation of AI systems. Where AI outputs inform commercially sensitive decisions, it is reasonable to require vendors to accept accountability for errors within their control, primarily where those errors stem from flaws in training data, model design or system documentation.

Companies that approach AI procurement with the same rigour they apply to financing, IP protection and data governance will place themselves in a stronger competitive position. Those who overlook the commercial implications of data use, output ownership and supplier accountability may find that the advantages of AI adoption are offset by a gradual erosion of the very insights that once set them apart.
Effective contracting cannot eliminate all risks, but it can ensure that businesses retain control over their data, protect the value created by AI-driven processes and avoid the unintended transfer of strategic advantage to external vendors. In an era where data and intelligence determine market leadership, these contractual foundations are no longer peripheral, they are central to commercial success.
